TERMS OF SERVICE

PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN A MANDATORY ARBITRATION PROVISION AND CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS.
1. ACCEPTANCE OF TERMS
1.1 Binding Agreement: By accessing, downloading, or using the Lymngo website, mobile application, or related services (collectively, the "Platform"), you agree to comply with and be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.
1.2 Legal Capacity: These Terms constitute a legally binding agreement between you and Lymngo Ltd. "we," "us," or "the Platform". By accepting these Terms, you represent that you are at least twenty-one (21) years of age, or twenty-five (25) years of age for premium or specialty vehicle categories, and that you have the legal capacity to enter into a binding contract under the laws of the Republic of Trinidad and Tobago.
1.3 Electronic Acceptance: You acknowledge that by clicking "I Accept," creating an account, or otherwise using the Platform, you are consenting to these Terms by electronic means, which shall have the same legal force and effect as a handwritten signature in accordance with the Electronic Transactions Act, Chap. 22:05 of the laws of Trinidad and Tobago.
1.4 Entire Agreement: These Terms, together with our Privacy Policy and any supplemental terms or policies referenced herein, constitute the entire agreement between you and Lymngo with respect to your use of the Platform and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
2. NATURE OF SERVICES
2.1 Technology Service Provider Only: You agree and acknowledge that Lymngo is strictly a technology services provider and acts solely as a venue to connect Vehicle Owners ("Owners") with Renters ("Renters").
2.2 NOT A RENTAL COMPANY: WE DO NOT OWN, LEASE, MAINTAIN, OR RENT VEHICLES. WE ARE NOT A TRANSPORTATION CARRIER OR INSURANCE AGENT.
2.3 No Agency Relationship: The Vehicle Owner is not an employee, agent, or partner of the Platform. The Platform is not a party to any rental agreement entered into between Renters and Owners.
2.4 Limitation of Control: We have no control over the conduct of Owners, Renters, or the condition of any vehicles. We disclaim all liability in this regard to the maximum extent permitted by the laws of Trinidad and Tobago.
2.5 Force Majeure: Lymngo shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to: natural disasters, epidemics or pandemics, acts of government or regulatory authorities, civil unrest, strikes, power failures, internet or telecommunications outages, or any other event constituting force majeure under the laws of Trinidad and Tobago. During any such event, affected obligations shall be suspended for the duration of the force majeure condition.
3. ACCOUNT REGISTRATION & IDENTITY VERIFICATION
3.1 Eligibility: Users must be at least 21 years of age (25 for certain vehicle categories) and possess a valid Driver's License.
3.2 Data Verification & Storage (Consent to Cross-Border Transfer):
- Authorization: By creating an account, you authorize us to request and store documentation (including your Driver's License and Passport) to verify your identity.
- International Storage Consent: You acknowledge that Lymngo uses secure cloud infrastructure (e.g., AWS, Cloudflare) which may be located outside of Trinidad and Tobago (specifically in the United States).
- Waiver: In compliance with the Data Protection Act, Chap. 22:04 of the laws of Trinidad and Tobago, you explicitly consent to the transfer and storage of your personal sensitive data to these international servers for the purpose of service facilitation and security.
3.3 Account Integrity: You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account. You must notify Lymngo immediately of any unauthorized use of your account or any other breach of security.
3.4 Account Suspension and Termination: Lymngo reserves the right to suspend or terminate your account at any time, with or without notice, if: (a) you provide fraudulent, incomplete, or misleading documentation during identity verification; (b) your identity verification fails or cannot be completed; (c) you breach any provision of these Terms; or (d) continued provision of services to you poses a legal, regulatory, or reputational risk to the Platform. In the event of account termination, any pending bookings may be cancelled and refunds shall be issued in accordance with Section 6 of these Terms.
4. OBLIGATIONS OF THE VEHICLE OWNER
4.1 Legal Compliance & Registration: The Owner represents and warrants that any vehicle listed on the Platform is legally registered with the Trinidad and Tobago Licensing Authority.
4.2 The "P-Plate" Prohibition:
- Strict Ban: The use of vehicles with "Private" (P) registration for commercial rental purposes is strictly prohibited on this Platform.
- Requirement: All listed vehicles must carry valid "Rental" (R) or "Hiring" (H) registration plates.
- Assumption of Liability: If an Owner lists a "Private" vehicle, the Owner assumes 100% sole liability for any legal fines, vehicle seizure, impoundment fees, or insurance denials that result from this violation of the Motor Vehicles and Road Traffic Act, Chap. 48:50.
4.3 Maintenance: The Owner certifies that the vehicle is in safe, roadworthy condition and free of mechanical defects.
5. OBLIGATIONS OF THE RENTER
5.1 Vehicle Inspection (Duty of Care): You acknowledge that it is your responsibility to inspect the vehicle prior to operation. By accepting the keys, you certify that the vehicle is in acceptable condition.
5.2 Prohibited Uses: You may not use the vehicle for:
- Transporting passengers for hire (operating as a "PH" taxi).
- Towing, pushing, or off-road driving.
- Transporting illegal substances or committing any crime.
- Sub-renting the vehicle to a third party.
- Cross-border travel outside Trinidad and Tobago without written authorization.
- Exceeding the legal passenger capacity of the vehicle.
- Making any modifications or alterations to the vehicle.
5.3 Traffic Violations and Legal Compliance: You are solely responsible for all traffic violations, parking tickets, toll violations, red-light camera citations, speeding fines, and any other legal penalties incurred during the rental period or issued thereafter based on your use of the vehicle. You authorize Lymngo and the Vehicle Owner to:
- Release your personal information to law enforcement and government authorities upon lawful request.
- Charge your payment method on file for all fines, penalties, and administrative processing fees.
- Pursue all available legal remedies under the laws of Trinidad and Tobago, including but not limited to civil proceedings, statutory demands, and engagement of licensed debt recovery agents, to recover unpaid fines, penalties, and administrative fees.
5.4 Alcohol, Drugs, and Sobriety: You agree that: (a) you will not operate the vehicle while under the influence of alcohol, drugs, or any impairing substance as prohibited under the Motor Vehicles and Road Traffic Act, Chap. 48:50 of the laws of Trinidad and Tobago; (b) in the event of an accident or incident, you consent to sobriety testing as requested by the Trinidad and Tobago Police Service or as required by law; (c) refusal to submit to lawful sobriety testing shall constitute a presumption of impairment and forfeiture of all insurance protections and deposit refund rights; and (d) evidence of alcohol or drug impairment shall result in immediate termination of the rental, forfeiture of all payments and deposits, and full liability for all damages and losses.
5.5 Background Checks and Driver History Verification: You authorize Lymngo and Vehicle Owners to: (a) verify your driver's license status with the Trinidad and Tobago Licensing Authority; (b) conduct background checks including criminal record searches; (c) review your driving history and prior rental violations; (d) refuse rental services based on background findings at their sole discretion; and (e) share verification results with insurance providers and law enforcement when required by law. You represent that you have no suspended or revoked driver's licenses, no pending criminal charges related to vehicle use, and no history of insurance fraud. Any material misrepresentation under this section shall constitute a fundamental breach of these Terms, entitling Lymngo and the Vehicle Owner to immediately terminate the rental, forfeit all payments and deposits, and pursue civil remedies for any resulting losses or damages.
5.6 Criminal Use and Vehicle Seizure: If the vehicle is used in connection with any criminal activity, including but not limited to drug trafficking, robbery, kidnapping, human trafficking, or any offense under the laws of Trinidad and Tobago, you agree to: (a) forfeit all rental payments and deposits; (b) indemnify the Vehicle Owner and Platform from all criminal investigations, civil claims, legal fees, and damages; (c) reimburse the Vehicle Owner for the full replacement value of the vehicle if seized or damaged; and (d) authorize full cooperation with the Trinidad and Tobago Police Service without prior notice to you. If the vehicle is seized or impounded by authorities, you are responsible for all impoundment fees, storage fees, towing charges, lost rental income, and legal fees.
5.7 Authorized Drivers and Key Control: Only the registered renter and any additional drivers explicitly authorized in writing by the Vehicle Owner may operate the vehicle. Unauthorized use constitutes a material breach of the rental agreement and voids all insurance coverage. You must maintain sole possession and control of vehicle keys at all times. Loss of keys incurs a replacement fee as specified by the Vehicle Owner.
6. FEES, PAYMENTS, AND CANCELLATIONS
6.1 Currency: All fees, charges, and payments on the Platform are denominated in Trinidad and Tobago Dollars (TTD) unless otherwise expressly stated. Where payments are processed in United States Dollars (USD) for international transactions, the applicable exchange rate shall be determined by the payment processor at the time of the transaction.
6.2 Collection of Funds: The Platform collects the total rental fee from the Renter as a limited payment collection agent for the Owner. Payment is processed at the time of booking confirmation unless the "Pay Later" option is selected, in which case payment shall be remitted directly to the Vehicle Owner at the commencement of the rental period.
6.3 Service Fees: We charge a non-refundable Service Fee for the use of our software. The applicable Service Fee shall be clearly displayed prior to booking confirmation. This fee is earned upon booking confirmation and is non-refundable regardless of cancellation, except where the cancellation is caused by the Platform's error or system failure.
6.4 Security Deposits: We reserve the right to place a hold on your payment method for a Security Deposit as specified in the booking details. This deposit may be applied toward: (a) vehicle damage beyond normal wear and tear; (b) excessive cleaning required upon vehicle return; (c) mileage overages exceeding the agreed-upon limit; (d) late return charges; (e) fuel replacement costs; or (f) any other charges arising from your breach of these Terms or the rental agreement. The Security Deposit, less any authorized deductions, shall be released within fourteen (14) business days of the vehicle's return.
6.5 Cancellation Policy:
- Free Cancellation: Bookings cancelled more than forty-eight (48) hours before the scheduled pickup time shall receive a full refund of the rental fee (excluding the non-refundable Service Fee).
- Late Cancellation: Bookings cancelled between twenty-four (24) and forty-eight (48) hours before the scheduled pickup time shall be subject to a cancellation fee of fifty percent (50%) of the total rental fee.
- No-Show / Last-Minute Cancellation: Bookings cancelled less than twenty-four (24) hours before the scheduled pickup time, or failure to collect the vehicle without prior cancellation, shall result in forfeiture of the full rental fee.
- Owner Cancellation: If the Vehicle Owner cancels a confirmed booking, the Renter shall receive a full refund of all fees paid, including the Service Fee.
6.6 Late Returns: If the vehicle is not returned by the agreed-upon return time, you shall be charged a late fee as follows: (a) a grace period of thirty (30) minutes shall apply, after which late charges commence; (b) late returns of up to four (4) hours shall incur a charge of fifty percent (50%) of the daily rental rate; (c) late returns exceeding four (4) hours shall be charged the full daily rental rate for each additional day or part thereof. The Vehicle Owner reserves the right to report the vehicle as unreturned to the Trinidad and Tobago Police Service if the vehicle is not returned within twenty-four (24) hours of the agreed return time without prior arrangement.
6.7 Fuel Policy: Unless otherwise agreed between the Renter and the Vehicle Owner, the vehicle shall be returned with the same fuel level as at the time of collection. Failure to return the vehicle with the equivalent fuel level shall result in a fuel replacement charge at the prevailing market rate, plus a reasonable refuelling service fee as determined by the Vehicle Owner.
6.8 Mileage: Rental bookings may include a daily mileage allowance as specified in the booking details. Any kilometres driven in excess of the agreed allowance shall be charged at the per-kilometre overage rate specified by the Vehicle Owner at the time of booking.
6.9 Damage Assessment: Upon return of the vehicle, the Vehicle Owner shall conduct an inspection. If damage is identified that was not documented in the pre-rental vehicle checklist, the following process shall apply: (a) the damage shall be documented with photographs and a written description; (b) a repair estimate shall be obtained from a licensed automotive repair facility; (c) the Renter shall be notified of the damage claim within seventy-two (72) hours of the vehicle's return; and (d) the Renter shall have seven (7) days to dispute the claim by providing evidence. If the claim is not disputed or is upheld, the repair costs shall be deducted from the Security Deposit, and any excess shall be charged to the Renter's payment method on file.
6.10 Payment Disputes: If you believe a charge is incorrect, you must notify Lymngo in writing within thirty (30) days of the charge. We shall investigate the dispute and respond within fourteen (14) business days. Filing a chargeback or payment reversal with your financial institution without first exhausting this dispute process may result in account suspension and additional administrative fees.
7. DISCLAIMER OF WARRANTIES
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." WE EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WHILE WE REQUIRE VEHICLE OWNERS TO MAINTAIN PROPER REGISTRATION, INSURANCE, AND ROADWORTHY CONDITION AS SET FORTH IN SECTION 4, WE DO NOT INDEPENDENTLY VERIFY OR CONTINUOUSLY MONITOR COMPLIANCE WITH THESE REQUIREMENTS. ACCORDINGLY, WE MAKE NO WARRANTY OR REPRESENTATION REGARDING THE SAFETY, LEGAL STATUS, REGISTRATION, INSURANCE COVERAGE, OR MECHANICAL CONDITION OF ANY VEHICLE LISTED ON THE PLATFORM.
8. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, LYMNGO SHALL NOT BE LIABLE FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR LOSS OF GOODWILL, OR FOR ANY DAMAGES FOR PERSONAL OR BODILY INJURY OR EMOTIONAL DISTRESS ARISING OUT OF:
- YOUR USE OF THE PLATFORM.
- ANY INTERACTION WITH OTHER MEMBERS.
- ANY ACCIDENT, BREAKDOWN, OR MECHANICAL FAILURE OF A RENTED VEHICLE.
- ANY INSURANCE CLAIM DENIED DUE TO THE OWNER'S FAILURE TO MAINTAIN PROPER REGISTRATION.
IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU PAID TO THE PLATFORM IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE THOUSAND UNITED STATES DOLLARS (US $1,000.00).
NOTHING IN THIS SECTION SHALL EXCLUDE OR LIMIT LIABILITY FOR: (I) DEATH OR PERSONAL INJURY CAUSED BY THE PLATFORM'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT; (II) FRAUD OR FRAUDULENT MISREPRESENTATION BY THE PLATFORM; OR (III) ANY OTHER LIABILITY THAT CANNOT BE LAWFULLY EXCLUDED OR LIMITED UNDER THE LAWS OF THE REPUBLIC OF TRINIDAD AND TOBAGO.
9. INDEMNIFICATION
You agree to release, defend, indemnify, and hold Lymngo, its directors, employees, and agents harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with:
- Your breach of these Terms.
- Your improper use of the Platform.
- Your interaction with any Member or use of a vehicle, including any injuries, losses, or damages (compensatory, direct, incidental, consequential, or otherwise) of any kind.
- Your breach of any laws, regulations, or third-party rights (including insurance laws of Trinidad and Tobago).
10. DISPUTE RESOLUTION (MANDATORY ARBITRATION)
10.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Republic of Trinidad and Tobago, without regard to its conflict of laws principles.
10.2 Informal Resolution: Before initiating formal dispute resolution proceedings, the parties agree to first attempt to resolve any dispute informally by contacting Lymngo at [email protected]. Lymngo shall endeavour to resolve the dispute within thirty (30) days of receipt of written notice.
10.3 Mandatory Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms that is not resolved through informal resolution under Section 10.2 shall be settled by binding arbitration administered by the Dispute Resolution Centre of Trinidad and Tobago (DRC), in accordance with its rules and procedures then in effect.
10.4 Arbitration Costs: The filing fees for arbitration shall be borne by the party initiating the claim. Each party shall bear its own legal costs and expenses unless the arbitrator determines that the circumstances warrant an award of costs to the prevailing party. If the DRC filing fee exceeds one thousand Trinidad and Tobago Dollars (TT $1,000.00) for claims brought by individual Renters, Lymngo shall pay the difference.
10.5 Small Claims Exception: Notwithstanding the foregoing, either party may bring an individual action in the Magistrates' Court of Trinidad and Tobago for disputes where the amount in controversy falls within the jurisdictional limit of such court.
10.6 Waiver of Representative Proceedings: YOU AND THE PLATFORM AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO PARTICIPATE IN ANY CONSOLIDATED, REPRESENTATIVE, OR COLLECTIVE PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS.
11. GENERAL PROVISIONS
11.1 Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity and enforceability of the remaining provisions, which shall continue in full force and effect.
11.2 Modifications: We reserve the right to modify these Terms at any time. If we make material changes, we will: (a) post the revised Terms on the Platform; (b) update the "Last Updated" date; and (c) notify registered users via email or in-app notification at least fourteen (14) days prior to the effective date of the changes. Your continued use of the Platform after the effective date of such changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the Platform.
11.3 Assignment: You may not assign, transfer, or delegate your rights or obligations under these Terms without the prior written consent of Lymngo. Lymngo may freely assign, transfer, or delegate its rights and obligations under these Terms, in whole or in part, without notice to you, including in connection with a merger, acquisition, corporate restructuring, or sale of all or substantially all of its assets.
11.4 Waiver: The failure of Lymngo to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms shall be effective only if in writing and signed by an authorized representative of Lymngo.
11.5 Notices: All formal legal notices to Lymngo must be sent by registered mail or internationally recognised courier service to the address specified in Section 12, or by email to [email protected] with the subject line "Legal Notice." Notices to you shall be sent to the email address associated with your account and shall be deemed received upon transmission.
11.6 Survival: The following provisions shall survive the termination or expiration of these Terms: Sections 5 (Obligations of the Renter, to the extent obligations arose during the rental period), 6 (Fees, Payments, and Cancellations, to the extent amounts remain outstanding), 7 (Disclaimer of Warranties), 8 (Limitation of Liability), 9 (Indemnification), 10 (Dispute Resolution), and 11 (General Provisions).
11.7 Relationship of the Parties: Nothing in these Terms shall be construed as creating a joint venture, partnership, employment, or agency relationship between you and Lymngo. Neither party has the authority to bind or obligate the other in any manner whatsoever.
11.8 Headings: The headings and section titles in these Terms are for convenience of reference only and shall not affect the interpretation or construction of any provision hereof.
11.9 Language: These Terms are drafted in the English language. In the event of any conflict between the English version and any translation, the English version shall prevail.
