RENTAL PROVIDER TERMS OF SERVICE

PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN A MANDATORY ARBITRATION PROVISION AND WAIVER OF REPRESENTATIVE PROCEEDINGS THAT AFFECT YOUR LEGAL RIGHTS.
1. ACCEPTANCE OF TERMS
1.1 Binding Agreement: By registering your company on Lymngo as a Rental Provider or Vehicle Owner, you agree to comply with and be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not list vehicles on the Platform.
1.2 Legal Capacity: These Terms constitute a legally binding agreement between you and Lymngo Ltd. "we," "us," or "the Platform". By accepting these Terms, you represent that you are duly authorized to enter into this agreement on behalf of your business entity, and that your business is legally registered and in good standing in your operating jurisdiction.
1.3 Electronic Acceptance: You acknowledge that by clicking "I Accept," creating a Rental Provider account, or listing vehicles on the Platform, you are consenting to these Terms by electronic means, which shall have the same legal force and effect as a handwritten signature in accordance with the Electronic Transactions Act, Chap. 22:05 of the laws of Trinidad and Tobago.
1.4 Entire Agreement: These Terms, together with your Rental Provider agreement, our Privacy Policy, and any supplemental terms or policies referenced herein, constitute the entire agreement between you and Lymngo with respect to your use of the Platform as a Rental Provider and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
2. NATURE OF SERVICES
2.1 Technology Service Provider Only: You agree and acknowledge that Lymngo is strictly a technology services provider and acts solely as a venue to connect Vehicle Owners ("Owners") with Renters ("Renters").
2.2 NOT A RENTAL COMPANY: WE DO NOT OWN, LEASE, MAINTAIN, OR RENT VEHICLES. WE ARE NOT A TRANSPORTATION CARRIER, INSURANCE AGENT, OR VEHICLE INSPECTION AUTHORITY.
2.3 No Agency Relationship: As a Vehicle Owner, you are not an employee, agent, or partner of the Platform. The Platform is not a party to any rental agreement entered into between you and Renters.
2.4 Independent Contractor: You operate as an independent business owner. You are solely responsible for your business operations, tax obligations (including VAT, corporation tax, and business levy as applicable under the laws of Trinidad and Tobago), and compliance with all applicable local, national, and international laws.
2.5 Force Majeure: Lymngo shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to: natural disasters, epidemics or pandemics, acts of government or regulatory authorities, civil unrest, strikes, power failures, internet or telecommunications outages, or any other event constituting force majeure under the laws of Trinidad and Tobago. During any such event, affected obligations shall be suspended for the duration of the force majeure condition.
3. ACCOUNT REGISTRATION & VERIFICATION
3.1 Eligibility: To register as a Rental Provider, you must:
- Be a legally registered business in Trinidad and Tobago or your operating jurisdiction.
- Have valid business licenses and permits for vehicle rental operations.
- Maintain adequate commercial insurance coverage for all listed vehicles.
- Provide accurate and complete business information during registration, including business registration number, tax identification number, and proof of insurance.
3.2 Account Approval: All Rental Provider accounts are subject to review and approval by Lymngo. We reserve the right to reject applications that do not meet our standards, and we are not obligated to disclose the reasons for rejection.
3.3 Ongoing Compliance: Approval of your account does not constitute a continuing endorsement. You must maintain compliance with all eligibility requirements at all times. You agree to promptly notify Lymngo of any material changes to your business status, licensing, insurance coverage, or legal standing.
3.4 Data Storage Consent: You acknowledge that Lymngo uses secure cloud infrastructure (e.g., AWS, Cloudflare) which may be located outside of Trinidad and Tobago (specifically in the United States). In compliance with the Data Protection Act, Chap. 22:04 of the laws of Trinidad and Tobago, you consent to the transfer and storage of your business data to these international servers for the purpose of service facilitation and security.
3.5 Account Suspension and Termination: Lymngo reserves the right to immediately suspend or terminate your account, with or without notice, if: (a) you provide fraudulent, incomplete, or misleading information during registration or at any time thereafter; (b) your business licences, permits, or insurance lapse or are revoked; (c) you breach any provision of these Terms; (d) we receive credible complaints from Renters regarding safety, vehicle condition, or professional conduct; or (e) continued provision of services to you poses a legal, regulatory, or reputational risk to the Platform. Suspension or termination shall not relieve you of any obligations arising prior to such action, including the obligation to honour existing confirmed bookings unless otherwise directed by Lymngo.
4. OBLIGATIONS OF THE VEHICLE OWNER
IMPORTANT: FAILURE TO COMPLY WITH THESE OBLIGATIONS MAY RESULT IN IMMEDIATE ACCOUNT TERMINATION, FORFEITURE OF PENDING PAYOUTS, AND LEGAL LIABILITY.
4.1 Legal Compliance & Registration: You represent and warrant that: (a) any vehicle listed on the Platform is legally registered with the Trinidad and Tobago Licensing Authority; (b) you hold all necessary permits and licences required to operate a vehicle rental business under the laws of Trinidad and Tobago; and (c) you shall maintain such registrations, permits, and licences in full force and effect for the duration of your use of the Platform.
4.2 The "P-Plate" Prohibition:
- Strict Ban: The use of vehicles with "Private" (P) registration for commercial rental purposes is strictly prohibited on this Platform.
- Requirement: All listed vehicles must carry valid "Rental" (R) or "Hiring" (H) registration plates issued by the Trinidad and Tobago Licensing Authority.
- Assumption of Liability: If you list a "Private" vehicle, you assume 100% sole liability for any legal fines, vehicle seizure, impoundment fees, insurance denials, or third-party claims that result from this violation of the Motor Vehicles and Road Traffic Act, Chap. 48:50.
- Platform Indemnification: You agree to fully indemnify and hold harmless Lymngo, its officers, directors, employees, and agents from any and all claims, damages, losses, penalties, fines, legal fees, and expenses arising from your failure to comply with vehicle registration requirements.
4.3 Insurance Requirements:
- You must maintain comprehensive commercial insurance coverage for all listed vehicles that meets or exceeds the minimum requirements prescribed by the Motor Vehicle Insurance (Third Party Risks) Act, Chap. 48:51.
- Insurance policies must specifically cover the vehicle for commercial rental or hire purposes. Personal or private-use policies are not acceptable.
- You must provide proof of valid insurance upon request by Lymngo or any Renter.
- You are solely responsible for all insurance claims, disputes, premiums, deductibles, and any gaps in coverage.
- You acknowledge that Lymngo does not provide, arrange, or guarantee any insurance coverage for your vehicles or rental operations.
4.4 Vehicle Condition & Maintenance:
- You certify that each vehicle listed on the Platform is in safe, roadworthy condition and free of known mechanical defects at the time of each rental.
- You must conduct regular maintenance and safety inspections in accordance with manufacturer recommendations.
- You must provide accurate descriptions, photographs, and specifications for all listings. Materially misleading listings constitute a breach of these Terms.
- You must immediately delist any vehicle that becomes unsafe, unroadworthy, or subject to a manufacturer recall until the issue is resolved.
4.5 Vehicle Safety Certification: You certify that all listed vehicles: (a) have passed a professional mechanical inspection within the preceding six (6) months; (b) have valid registration and licensing with the Trinidad and Tobago Licensing Authority; (c) meet all safety requirements under the Motor Vehicles and Road Traffic Act, Chap. 48:50; (d) have functioning seatbelts, airbags (where factory-equipped), lights, indicators, brakes, windscreen wipers, and tyres with adequate tread depth; (e) are free from unresolved manufacturer recalls or known safety defects; and (f) are maintained according to manufacturer service schedules. You agree to maintain service records and make them available for Platform audits upon reasonable request. Failure to maintain vehicle safety standards shall result in immediate delisting and may result in account suspension or termination.
4.6 Incident Reporting and Notification Obligations: You agree to report the following incidents to Lymngo within the specified timeframes:
- Accidents: Within two (2) hours of notification by renter or discovery.
- Vehicle Theft: Immediately upon notification. You must also file a report with the Trinidad and Tobago Police Service within twenty-four (24) hours.
- Police Seizure/Impoundment: Within four (4) hours of discovery.
- Mechanical Breakdown: Within six (6) hours if the renter is stranded. You are responsible for arranging roadside assistance or a replacement vehicle at your own expense.
- Insurance Claims: Within forty-eight (48) hours of any incident giving rise to a potential claim.
Failure to report incidents within these timeframes may result in: (a) account suspension; (b) liability for additional damages incurred by the Renter or third parties due to the delay; (c) forfeiture of Platform dispute resolution assistance; and (d) potential termination of your Rental Provider account.
4.7 Insurance Claim Cooperation: You agree to: (a) file insurance claims promptly, and in no event later than seventy-two (72) hours after any incident; (b) provide all documentation required by insurance providers without delay; (c) cooperate fully with insurance investigators and adjusters; (d) not settle, compromise, or admit liability for any claim relating to a Platform booking without prior written notification to Lymngo; and (e) accept sole responsibility for any insurance denial resulting from your failure to maintain proper vehicle registration, adequate insurance coverage, or compliance with the Motor Vehicle Insurance (Third Party Risks) Act, Chap. 48:51.
4.8 Customer Screening Obligations: At vehicle pickup, you must: (a) verify the renter's identity matches the booking information using a valid government-issued photo identification; (b) confirm the renter's driver's licence is valid, not expired, and of the appropriate class for the vehicle; (c) refuse rental to any person who appears intoxicated, impaired, or otherwise unfit to drive safely; (d) document the vehicle's condition through photographs or the Platform's inspection checklist prior to handover; (e) ensure the renter has reviewed and signed the rental agreement before releasing the vehicle; and (f) explain the fuel policy, mileage limits, and return requirements to the renter. Failure to perform these screening obligations may void your right to claim against the Renter's Security Deposit for damages occurring during the rental period.
5. BOOKINGS AND RENTAL OBLIGATIONS
5.1 Honouring Bookings: You agree to honour all confirmed bookings at the listed price and terms. Failure to honour a confirmed booking without legitimate cause (such as vehicle breakdown or force majeure) shall constitute a material breach of these Terms and may result in: (a) penalties as determined by Lymngo; (b) obligation to reimburse the Renter for any additional costs incurred in securing alternative transportation; and (c) account suspension or termination for repeated violations.
5.2 Vehicle Availability: You must ensure that vehicles listed as available are genuinely available for the dates and times specified. You must promptly update your calendar and availability to prevent double-bookings. In the event of a double-booking caused by your failure to maintain accurate availability, you shall be solely responsible for resolving the conflict and compensating the affected Renter.
5.3 Vehicle Delivery: You must provide vehicles in the condition described in the listing, with all advertised features and amenities. If the vehicle provided materially differs from the listing description, the Renter shall be entitled to reject the vehicle and receive a full refund, and you shall bear any costs associated with the Renter securing alternative arrangements.
5.4 Inspections: You must conduct thorough vehicle inspections before and after each rental using the Platform's inspection checklist or an equivalent documented process. Pre-rental and post-rental inspection records serve as the primary evidence in damage disputes. Failure to complete a pre-rental inspection may limit your ability to claim for damages discovered after the rental period.
5.5 Professional Conduct: You must maintain professional conduct with all customers at all times. This includes: (a) responding to booking inquiries within a reasonable timeframe; (b) treating all Renters with courtesy and respect; (c) refraining from discriminatory practices prohibited by the laws of Trinidad and Tobago; and (d) resolving complaints in good faith. Lymngo reserves the right to remove Rental Provider accounts that receive persistent negative feedback or substantiated complaints regarding professional conduct.
5.6 Pricing and Listing Accuracy: You are solely responsible for setting rental prices and ensuring all listing information is accurate, current, and not misleading. Prices displayed must include all mandatory fees and charges. Hidden fees or surcharges not disclosed at the time of booking are prohibited and may result in account penalties.
6. FEES, PAYMENTS, AND COMMISSIONS
6.1 Currency: All fees, commissions, and payouts are denominated in Trinidad and Tobago Dollars (TTD) unless otherwise expressly stated in your Rental Provider agreement. Where payments are processed in United States Dollars (USD), the applicable exchange rate shall be determined by the payment processor at the time of the transaction.
6.2 Platform Commission: We charge a commission fee on each completed booking as specified in your Rental Provider agreement. The commission is calculated as a percentage of the total rental fee (excluding security deposits) and is deducted prior to payout. Lymngo reserves the right to modify commission rates with thirty (30) days' prior written notice. Continued use of the Platform after the effective date of a commission change constitutes acceptance of the revised rate.
6.3 Payment Collection: The Platform collects the total rental fee from Renters as a limited payment collection agent on your behalf. You hereby appoint Lymngo as your limited agent solely for the purpose of accepting payments from Renters. This appointment does not create a general agency, partnership, or employment relationship.
6.4 Payout Schedule: Payouts of rental fees (less applicable commissions and deductions) are processed according to the schedule specified in your Rental Provider agreement. Payouts are contingent upon: (a) the rental being completed without unresolved disputes; (b) the Renter not filing a damage or service complaint within seventy-two (72) hours of vehicle return; and (c) your account being in good standing. Lymngo reserves the right to withhold payouts pending the resolution of disputes, damage claims, or investigations.
6.5 Payout Holds and Deductions: Lymngo may withhold, offset, or deduct amounts from your payouts for: (a) refunds issued to Renters due to your cancellation, no-show, or material breach; (b) compensation paid to Renters for vehicle defects, listing inaccuracies, or service failures; (c) penalties for violations of these Terms; (d) chargebacks initiated by Renters with their financial institutions; and (e) any amounts you owe to Lymngo under these Terms or any related agreement.
6.6 Chargebacks and Disputes: You are responsible for any chargebacks resulting from disputes with Renters regarding your vehicles or services. If a chargeback is initiated, Lymngo may: (a) deduct the chargeback amount and any associated processing fees from your pending or future payouts; (b) require you to provide documentation to contest the chargeback; and (c) suspend payouts until the dispute is resolved. Excessive chargebacks (more than two percent (2%) of your total transactions in any rolling ninety (90) day period) may result in account review, increased commission rates, or account termination.
6.7 Tax Obligations: You are solely responsible for determining and fulfilling all tax obligations arising from your rental income, including but not limited to income tax, corporation tax, business levy, green fund levy, and Value Added Tax (VAT) as applicable under the laws of Trinidad and Tobago. Lymngo does not withhold taxes on your behalf and does not provide tax advice. You agree to indemnify Lymngo for any tax liability, penalties, or interest arising from your failure to comply with your tax obligations.
7. CUSTOMER DATA PROTECTION
7.1 Data Controller Obligations: With respect to personal data you collect from Renters through the Platform or during the rental process, you act as an independent data controller. You agree to:
- Use customer personal data solely for the purposes of fulfilling the rental transaction and complying with your legal obligations.
- Protect all customer personal information in compliance with the Data Protection Act, Chap. 22:04 of the laws of Trinidad and Tobago.
- Not sell, share, disclose, or transfer customer data to any third party without the customer's explicit prior consent, except as required by law or lawful court order.
- Implement appropriate technical and organisational security measures to protect customer data against unauthorised access, disclosure, alteration, or destruction.
- Promptly notify Lymngo and affected customers in the event of a data breach involving customer personal data, in no event later than seventy-two (72) hours after becoming aware of the breach.
- Delete or securely destroy customer personal data when it is no longer required for the purpose for which it was collected, and in any event no later than twelve (12) months after the completion of the rental transaction, unless retention is required by law.
7.2 Platform Data: Any data, analytics, reports, or insights provided to you through the Platform remain the property of Lymngo. You may not extract, scrape, reproduce, or redistribute Platform data without prior written consent.
7.3 Indemnification for Data Breaches: You agree to indemnify and hold harmless Lymngo from any claims, fines, penalties, damages, or expenses (including legal fees) arising from your failure to comply with your data protection obligations under this section or applicable law.
8. INTELLECTUAL PROPERTY AND PLATFORM USE
8.1 Platform Licence: Lymngo grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for the purpose of listing vehicles and managing bookings in accordance with these Terms.
8.2 Restrictions: You shall not: (a) copy, modify, distribute, or create derivative works based on the Platform or its content; (b) reverse engineer, decompile, or disassemble any aspect of the Platform; (c) use the Platform to build a competing product or service; (d) scrape, harvest, or extract data from the Platform by automated means; or (e) use the Platform in any manner that could damage, disable, or impair the Platform's functionality.
8.3 Your Content: You retain ownership of content you upload to the Platform (photographs, descriptions, etc.). By uploading content, you grant Lymngo a worldwide, non-exclusive, royalty-free licence to use, display, reproduce, and distribute such content in connection with operating and promoting the Platform.
8.4 Feedback: Any suggestions, feedback, or ideas you provide regarding the Platform shall become the property of Lymngo and may be used without restriction or compensation to you.
9. DISCLAIMER OF WARRANTIES
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." WE EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE BOOKING VOLUME, REVENUE, CUSTOMER QUALITY, OR THE CONTINUED AVAILABILITY OF THE PLATFORM. YOUR SUCCESS ON THE PLATFORM DEPENDS SOLELY ON YOUR OWN EFFORTS, THE QUALITY OF YOUR VEHICLES AND SERVICES, AND MARKET CONDITIONS BEYOND OUR CONTROL.
10. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, LYMNGO SHALL NOT BE LIABLE FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOSS OF BUSINESS, LOSS OF GOODWILL, LOSS OF DATA, OR BUSINESS INTERRUPTION ARISING OUT OF:
- YOUR USE OF OR INABILITY TO USE THE PLATFORM.
- ANY INTERACTION WITH RENTERS, INCLUDING DAMAGE TO YOUR VEHICLES.
- ANY ACCIDENT, DAMAGE, THEFT, OR TOTAL LOSS INVOLVING YOUR VEHICLES.
- ANY INSURANCE CLAIM DENIED DUE TO YOUR FAILURE TO MAINTAIN PROPER REGISTRATION, INSURANCE, OR VEHICLE CONDITION.
- ANY LEGAL PENALTIES, FINES, OR SANCTIONS FOR NON-COMPLIANCE WITH VEHICLE REGISTRATION, LICENSING, OR INSURANCE LAWS.
- ANY RENTER DEFAULT, NON-PAYMENT, OR FRAUDULENT ACTIVITY.
- PLATFORM DOWNTIME, TECHNICAL FAILURES, OR DATA LOSS.
IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE TOTAL COMMISSIONS PAID TO US BY YOU IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
NOTHING IN THIS SECTION SHALL EXCLUDE OR LIMIT LIABILITY FOR: (I) DEATH OR PERSONAL INJURY CAUSED BY THE PLATFORM'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT; (II) FRAUD OR FRAUDULENT MISREPRESENTATION BY THE PLATFORM; OR (III) ANY OTHER LIABILITY THAT CANNOT BE LAWFULLY EXCLUDED OR LIMITED UNDER THE LAWS OF THE REPUBLIC OF TRINIDAD AND TOBAGO.
11. INDEMNIFICATION
You agree to release, defend, indemnify, and hold Lymngo, its officers, directors, employees, agents, and affiliates harmless from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal and accounting fees) arising out of or in any way connected with:
- Your breach of these Terms or any representation or warranty made herein.
- Your vehicles, including but not limited to any accidents, injuries, deaths, property damage, or mechanical failures.
- Your failure to comply with vehicle registration, licensing, or insurance requirements under the laws of Trinidad and Tobago.
- Your interaction with Renters, including any disputes, complaints, or claims of discrimination, harassment, or unprofessional conduct.
- Your breach of any applicable laws, regulations, or third-party rights, including intellectual property rights, data protection laws, and consumer protection laws.
- Your failure to report incidents in accordance with Section 4.6 of these Terms.
- Any tax liability, penalties, or interest arising from your failure to comply with your tax obligations under Section 6.7.
- Any data breach or misuse of customer personal data in violation of Section 7.
This indemnification obligation shall survive the termination or expiration of these Terms and your use of the Platform.
12. TERMINATION
12.1 Termination by You: You may terminate your account by providing thirty (30) days' written notice to Lymngo. During the notice period, you must: (a) honour all existing confirmed bookings; (b) ensure all vehicles on active rentals are returned and inspected; and (c) resolve any pending disputes or damage claims. Your obligation to indemnify Lymngo under these Terms shall survive termination.
12.2 Termination by Us: We may immediately suspend or terminate your account, without prior notice, for:
- Any violation of these Terms, including but not limited to listing vehicles without proper registration or insurance.
- Fraudulent activity, including falsified documentation, fictitious listings, or manipulation of booking data.
- Repeated or substantiated customer complaints regarding vehicle safety, condition, or professional conduct.
- Failure to maintain the required business licences, permits, or insurance coverage.
- Engagement in any activity that poses a safety risk to Renters or the public.
- Non-compliance with incident reporting obligations under Section 4.6.
- Excessive chargebacks as defined in Section 6.6.
12.3 Consequences of Termination: Upon termination of your account: (a) your licence to use the Platform shall immediately cease; (b) all vehicle listings shall be removed; (c) pending payouts shall be held for a period of ninety (90) days to allow for the resolution of any outstanding disputes, damage claims, or chargebacks, after which any remaining balance shall be remitted to you less applicable deductions; (d) you must immediately cease using any Lymngo branding, trademarks, or marketing materials; and (e) your obligations under Sections 7 (Customer Data Protection), 10 (Limitation of Liability), 11 (Indemnification), and 14 (General Provisions) shall survive termination.
13. DISPUTE RESOLUTION (MANDATORY ARBITRATION)
13.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Republic of Trinidad and Tobago, without regard to its conflict of laws principles.
13.2 Informal Resolution: Before initiating formal dispute resolution proceedings, the parties agree to first attempt to resolve any dispute informally by contacting Lymngo at [email protected]. The parties shall endeavour to resolve the dispute within thirty (30) days of receipt of written notice.
13.3 Mandatory Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms that is not resolved through informal resolution under Section 13.2 shall be settled by binding arbitration administered by the Dispute Resolution Centre of Trinidad and Tobago (DRC), in accordance with its rules and procedures then in effect.
13.4 Arbitration Costs: The filing fees for arbitration shall be borne by the party initiating the claim. Each party shall bear its own legal costs and expenses unless the arbitrator determines that the circumstances warrant an award of costs to the prevailing party.
13.5 Small Claims Exception: Notwithstanding the foregoing, either party may bring an individual action in the Magistrates' Court of Trinidad and Tobago for disputes where the amount in controversy falls within the jurisdictional limit of such court.
13.6 Waiver of Representative Proceedings: YOU AND THE PLATFORM AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO PARTICIPATE IN ANY CONSOLIDATED, REPRESENTATIVE, OR COLLECTIVE PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS.
14. GENERAL PROVISIONS
14.1 Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity and enforceability of the remaining provisions, which shall continue in full force and effect.
14.2 Modifications: We reserve the right to modify these Terms at any time. If we make material changes, we will: (a) post the revised Terms on the Platform; (b) update the "Last Updated" date; and (c) notify registered Rental Providers via email at least thirty (30) days prior to the effective date of the changes. Your continued use of the Platform after the effective date of such changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the Platform and follow the termination procedure in Section 12.1.
14.3 Assignment: You may not assign, transfer, or delegate your rights or obligations under these Terms without the prior written consent of Lymngo. Lymngo may freely assign, transfer, or delegate its rights and obligations under these Terms, in whole or in part, without notice to you, including in connection with a merger, acquisition, corporate restructuring, or sale of all or substantially all of its assets.
14.4 Waiver: The failure of Lymngo to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms shall be effective only if in writing and signed by an authorized representative of Lymngo.
14.5 Notices: All formal legal notices to Lymngo must be sent by registered mail or internationally recognised courier service to the address specified in Section 15, or by email to [email protected] with the subject line "Legal Notice." Notices to you shall be sent to the email address associated with your Rental Provider account and shall be deemed received upon transmission.
14.6 Survival: The following provisions shall survive the termination or expiration of these Terms: Sections 4 (Obligations of the Vehicle Owner, to the extent obligations arose during the term), 6 (Fees, Payments, and Commissions, to the extent amounts remain outstanding), 7 (Customer Data Protection), 8 (Intellectual Property), 9 (Disclaimer of Warranties), 10 (Limitation of Liability), 11 (Indemnification), 13 (Dispute Resolution), and 14 (General Provisions).
14.7 Relationship of the Parties: Nothing in these Terms shall be construed as creating a joint venture, partnership, employment, franchise, or agency relationship between you and Lymngo. Neither party has the authority to bind or obligate the other in any manner whatsoever. You shall not represent yourself as an employee, agent, or authorized representative of Lymngo.
14.8 Headings: The headings and section titles in these Terms are for convenience of reference only and shall not affect the interpretation or construction of any provision hereof.
14.9 Language: These Terms are drafted in the English language. In the event of any conflict between the English version and any translation, the English version shall prevail.
14.10 No Third-Party Beneficiaries: These Terms are for the sole benefit of the parties hereto and do not confer any rights or remedies upon any third party, except that Renters are intended third-party beneficiaries of your obligations under Sections 4, 5, and 7 of these Terms.
